TERMS AND CONDITIONS OF USE

WEBSITE TERMS OF USE

The terms of use set forth below (hereinafter, the TERMS OF USE) constitute the agreement between the newspaper MILENIO DIARIO, S.A. de C.V. (hereinafter, MILENIO) and any user of the WEBSITE whose electronic address is: www.milenio.com (hereinafter, the SITE).

Use of the SITE by any person confers the status of user (hereinafter, the USER) and implies the USER’s full and unconditional adherence to these TERMS OF USE. Consequently, it is essential that the USER read them in advance and evaluate them carefully, so as to be aware that the USER is subject to them and to any amendments they may undergo each time the USER accesses the SITE.

If at any time the USER does not fully or partially agree with these TERMS OF USE, the USER must immediately refrain from using the SITE in any of its parts or sections.

The USER agrees that, in various parts of the SITE, there may be special stipulations which, as applicable, will replace, supplement, and/or modify the TERMS OF USE (hereinafter, the SPECIFIC CONDITIONS). For this reason, it is also essential that the USER read them in advance in each case, and if the USER does not fully or partially agree with it or them, the USER must refrain from using the part or section of the SITE governed under such SPECIFIC CONDITION(S). If the USER uses the part of the SITE governed by one or more SPECIFIC CONDITIONS, it shall be understood that the USER submits to them fully and unconditionally.

PURPOSE

Through the SITE, MILENIO provides USERS with access to various information provided by MILENIO or by persons linked to it directly or indirectly (hereinafter, the “CONTENT”). The USER acknowledges that use of the SITE does not grant the USER any ownership rights over it, any of its elements, or the CONTENT. MILENIO reserves the right to modify at any time and without prior notice the presentation, configuration, information, CONTENT, and, in general, any part or aspect directly or indirectly related to the SITE.

ACCESS TO AND USE OF THE SITE

The USER shall be required to register on the SITE, under the conditions established by MILENIO.

OBLIGATION TO MAKE PROPER USE OF THE SITE AND THE CONTENT

The USER undertakes to use the SITE and the CONTENT in accordance with applicable laws, the provisions of these TERMS OF USE, and with respect for public order. The USER undertakes to use the SITE and any CONTENT or aspect related thereto in a manner that does not infringe the rights or interests of MILENIO, or of persons linked to it directly or indirectly, or of third parties. The USER shall use the SITE and/or the CONTENT in a manner that does not damage, disable, impair, or undermine them in whole or in part.

MEANS FOR OBTAINING CONTENT

The USER must refrain from obtaining or attempting to obtain information, messages, graphics, drawings, sound and/or image files, photographs, recordings, software, and, in general, any kind of material accessible through the SITE or the CONTENT. The CONTENT and the elements found on the SITE may be used only by employing the means or procedures established within the SITE.

PROPER USE OF THE CONTENT

The USER undertakes to use the CONTENT and the elements used on the SITE diligently, properly, and lawfully, and, in particular, agrees to refrain from: (a) using the CONTENT in a manner, for purposes, or with effects contrary to the law, public order, and what is established by MILENIO for the use of this SITE; (b) copying, disseminating, modifying, reproducing, distributing, or using in any way, with or without profit, the CONTENT and the elements used on the SITE, unless the express written authorization of MILENIO has been obtained; (c) modifying or manipulating the trademarks, logos, commercial notices, trade names, and distinctive signs in general of MILENIO, the SITE, or persons linked directly or indirectly to MILENIO (unless the USER has their written authorization); (d) removing, circumventing, or modifying the CONTENT and the elements used on the SITE, as well as technical protection devices, or any mechanism or procedure established on the SITE.

MILENIO states that all CONTENT and the elements used on the SITE are duly registered and protected under the relevant authorities and laws in Mexico. The USER undertakes to respect all Intellectual Property rights over the CONTENT and the elements used on the SITE owned by MILENIO.

OBLIGATION TO FOLLOW THE INSTRUCTIONS

The USER undertakes to strictly follow any instruction issued by MILENIO or by personnel authorized by MILENIO who are related to the SITE, regarding any mechanism or procedure established for using the SITE and the CONTENT. The USER shall follow only instructions issued by MILENIO.

LIABILITY FOR DAMAGES AND LOSSES

The USER is responsible for any damage and/or loss of any nature caused by failure to comply with these TERMS OF USE or any applicable regulations, and therefore holds MILENIO harmless from any civil, criminal, administrative, or any other liability. Without prejudice to the foregoing, if MILENIO is sanctioned or held liable by a competent authority in any proceeding related to civil, criminal, administrative, or any other liability, it shall notify the responsible USER, who must pay MILENIO the amount it has been ordered to pay, as well as costs, attorneys’ fees, and other expenses incurred, within fifteen (15) calendar days following notification. In the event of late payment within the stated term, the USER undertakes to pay MILENIO, as a contractual penalty, an amount equivalent to the principal sum.

PERSONAL DATA

To use or enjoy some of the CONTENT, it is necessary for the USER to previously provide MILENIO with certain personal data (hereinafter, PERSONAL DATA) which MILENIO may manage through automated means or otherwise. By accessing the SITE or any CONTENT where PERSONAL DATA is required, the USER authorizes MILENIO to perform analyses and studies based on such data. The USER undertakes to provide true and accurate PERSONAL DATA, and if the USER wishes not to provide it in the parts of the SITE where it is requested, the USER must refrain from using such part(s) or section(s) of the SITE. If the USER provides false or confusing information, MILENIO may deny the USER access to the SITE and the CONTENT therein, without prejudice to MILENIO’s right to claim any damages to which it may be entitled. By providing PERSONAL DATA on the SITE, the USER authorizes MILENIO to disclose the respective information to any competent authority, if requested through appropriate legal means. MILENIO will not share any personal information provided with third parties, unless required to provide a service or product requested by the USER.

USE OF THE SITE AND THE CONTENT UNDER THE USER’S SOLE RESPONSIBILITY

By the mere fact of accessing the SITE, the USER acknowledges and accepts that use of the SITE and the CONTENT is under the USER’s sole and strict responsibility; therefore, MILENIO shall in no event and under no circumstances be liable for any malfunction or problem that may arise in the computer equipment (hardware) or computer programs (software) used by the USER to access or browse any part of the SITE.

DISCLAIMER OF WARRANTIES AND LIABILITY

Disclaimer of Warranties and Liability for the Operation of the SITE and the CONTENT, viruses and other harmful elements: MILENIO does not control and does not guarantee the absence of viruses in the CONTENT, nor the absence of other elements in the CONTENT that may cause alterations in the USER’s computer system (software and/or hardware) or in the electronic documents and files stored in the USER’s computer system.

LICENSE

MILENIO authorizes the USER to use the SITE exclusively under the TERMS AND CONDITIONS set forth herein, without implying that it grants the USER any license or authorization or any type of right other than the use mentioned above with respect to MILENIO’s “Intellectual Property.” “Intellectual Property” shall be understood as all trademarks registered and/or used in Mexico or abroad by MILENIO, as well as any rights over inventions (patented or not), industrial designs, utility models, confidential information, trade names, commercial notices, reservations of rights, domain names, as well as all types of proprietary rights over works and creations protected by copyright and other forms of industrial or intellectual property recognized or that may come to be recognized by the corresponding laws.

DENIAL AND WITHDRAWAL OF ACCESS TO THE SITE AND/OR THE CONTENT

MILENIO reserves the right to deny or withdraw access to the SITE and/or the CONTENT at any time and without prior notice, on its own initiative or at the request of any person, to any USER for any reason, including without limitation those USERS who misuse the SITE, any of its parts or sections, or the CONTENT, or who fully or partially fail to comply with these TERMS OF USE or the applicable SPECIFIC CONDITIONS.

DURATION AND TERMINATION

The SITE and the CONTENT are of indefinite duration. However, MILENIO may terminate, suspend, or interrupt the SITE and/or any of the CONTENT at any time and without prior notice.

OTHER PROVISIONS

Form. The USER agrees that a printed version of these TERMS AND CONDITIONS, and of any communication sent and/or received electronically, shall be admissible as evidence in any judicial and/or administrative proceeding.

Governing law and jurisdiction. In all matters relating to the interpretation and compliance herewith, by the mere fact of accessing the SITE, USERS agree to submit to the applicable laws and to the jurisdiction of the competent courts in the city of Monterrey, N.L., Mexico, waiving any other jurisdiction that may correspond to them by reason of their present or future domicile, or for any other reason.

INEFFECTIVE PROVISIONS

If any of the TERMS AND CONDITIONS expressed herein is deemed unenforceable or is declared null or invalid under applicable law, it shall be replaced by a term or condition that is valid and that can most strictly fulfill the purpose of the unenforceable provision or that has been declared null or invalid. The remaining terms and conditions shall remain in full force and effect.

RIGHTS

Any right not expressly granted in this document shall be deemed reserved to MILENIO.
